Navigating Mergers and Acquisitions on Aladdin
The Aladdin platform is transformational for organisations and a critical enabler in complex corporate events, including mergers, acquisitions, divestitures, spin-offs and public offerings. Below we have grouped corporate activity into 4 scenarios, these scenarios and hybrid combinations of them can be used to plan for all the corporate activities we see.
Growth
Many clients use their Aladdin implementation to consolidate fragmented operating models, typically the product of previous corporate transactions onto one platform globally. This delivers a single Target Operating Model (TOM) onto which future activity will be merged, a blueprint for growth, as such these become repeatable with Aladdin integrations or onboardings.
Decommission
An Aladdin client is acquired or merged with a non-Aladdin client, post an advisory review, Aladdin is either the winning or losing consolidation platform. In the event it is being decommissioned the off-boarding and transition of data is governed by the Service Agreement onto the new TOM and platform.
De-Merger
We have seen large Asset Owners and Asset Managers deciding to return to their core business and/or regional footprint after a growth phase. As part of the refocus, non-core regional or business specific entities are de-merged and in the process spun-out of the client’s Aladdin environments as new Aladdin clients. In many cases, inter-company relationships continue as ongoing strategic partnerships, which creates complex data requirements for each entity covering both historical records and forward-looking needs.
Key data requirements are often driven by regulatory compliance and reportingl as a result, data sharing remains ciritcal across the Aladdin environments during the transition process.
Partial Spin-off
Similar to the de-merger, a partial spin-off, can be a non-core business that is being held back from a growth perspective, as such, it is better off being standalone and spun-out of the existing Aladdin client as a separate entity. The path for the spun-out entity can vary depending on its strategic drivers, the use of Aladdin as its growth platform, and as such has the potential to regenerate renewed corporate activities of its own. Often the business activity of the spun-out entity is specialised and narrow in focus, one key requirement, ensuring the TOM and use of Aladdin can fuel the next chapter of growth.
